Please read these Terms of Service carefully. These Terms constitute a legally binding agreement between you (the "User," "you," or "your") and Voice2Work, Inc. ("Voice2Work," "we," "us," or "our") governing your access to and use of the Voice2Work field service management platform, including the web application at app.voice2work.com, the iOS mobile application, the Android mobile application, and all associated services, APIs, and features (collectively, the "Service"). If you use the Service on behalf of a business, the word "you" refers to that business entity and its authorized users.

01 Acceptance of Terms

By creating an account, accessing, downloading, installing, or otherwise using the Service — whether through the web application, the iOS App Store, or Google Play — you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and any additional guidelines or policies incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any update to these Terms constitutes your acceptance of the revised Terms, subject to the notice requirements set forth in Section 22.

You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms.

02 Description of Service

Voice2Work is a cloud-based field service management ("FSM") software platform designed exclusively for appliance repair shops and technicians. The Service provides tools and features including, without limitation:

  • Job Management: Creation, tracking, and management of repair job tickets from intake through completion, including job status pipelines, technician assignment, and work history.
  • Scheduling & Dispatch: Appointment scheduling, technician dispatch, route optimization, and calendar management for appliance repair workflows.
  • Parts Management: Parts ordering, inventory tracking, and parts cost management integrated with appliance repair job records.
  • Warranty Claims: Tools for submitting, tracking, and managing warranty claims with appliance manufacturers.
  • Payment Tracking: Invoicing, payment collection, and revenue tracking for repair jobs.
  • Automations & Workflows: Rule-based automations for job status updates, customer notifications, and technician alerts.
  • AI-Powered Features ("AI Team"): Optional artificial intelligence add-on features including Voice AI, Email AI, Follow-Up AI, Billing AI, and Warranty AI, described further in Section 10.
  • Mobile Application: iOS and Android applications enabling field technicians to access job details, update job status, capture photos, and communicate with customers from mobile devices.

Voice2Work is a Software-as-a-Service ("SaaS") product. We reserve the right to modify, enhance, or discontinue features of the Service at any time, subject to the notification requirements described in Section 22.

03 Account Registration

3.1 Account Creation

To access the Service, you must register for an account by providing accurate, current, and complete information, including a valid business name, email address, and any other information required during the registration process. You agree to maintain and promptly update your account information to keep it accurate, current, and complete.

3.2 One Account Per Business

Each appliance repair shop or business entity may maintain one primary Voice2Work account. Sub-users (technicians, office staff) may be added within the account as permitted by your subscription plan. You may not create multiple accounts to circumvent plan limitations, trial restrictions, or any suspension or termination of a prior account.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You agree to notify Voice2Work immediately at hello@voice2work.com if you suspect any unauthorized access to or use of your account. Voice2Work is not liable for any loss or damage arising from your failure to maintain the security of your credentials.

3.4 Accurate Information

Providing false, inaccurate, or misleading registration information is grounds for immediate account termination. Voice2Work may verify the information you provide and may require additional documentation to confirm the identity of the business operating the account.

04 Subscription & Billing

4.1 Subscription Plans

Voice2Work offers the following subscription tiers for the core platform:

Annual plans represent a savings of approximately 25% compared to monthly billing. Annual plan payments are collected in full at the start of each billing year.

4.2 AI Marketplace Add-Ons

Optional AI features are available as separate add-on subscriptions through the Voice2Work Marketplace:

Add-on subscriptions are billed separately from your core platform subscription and are subject to the same billing, cancellation, and refund policies set forth in these Terms.

4.3 Billing Cycles & Auto-Renewal

Auto-Renewal Disclosure: Your subscription will automatically renew at the end of each billing period (monthly or annual, as applicable) at the then-current rate for your plan, unless you cancel prior to the renewal date in accordance with Section 6. By subscribing, you authorize Voice2Work to charge your payment method on file on each renewal date without further notice, except as required by applicable law.

For monthly subscriptions, your billing date is the calendar day you initially subscribed (e.g., if you subscribed on the 15th, you will be billed on the 15th of each subsequent month). For annual subscriptions, renewal occurs on the anniversary of your subscription start date.

Voice2Work uses industry-standard payment processors to handle all billing. Your payment information is encrypted and stored by our payment processor in accordance with PCI-DSS standards. Voice2Work does not store raw credit card numbers.

4.4 Price Changes

Voice2Work reserves the right to change subscription prices. We will provide at least 30 days' advance written notice of any price increase via email to the address on file and/or through a notice posted within the Service. Price changes take effect at your next billing renewal date following the notice period. If you do not agree to a price change, you must cancel your subscription before the change takes effect. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new price.

4.5 Taxes

All subscription fees are exclusive of applicable taxes. You are responsible for any sales, use, value-added, or similar taxes assessed on your subscription based on your jurisdiction. Where Voice2Work is legally required to collect and remit such taxes, they will be added to your invoice.

4.6 Failed Payments

If a payment fails, Voice2Work will attempt to re-process the charge. If payment is not successfully collected within 10 days of the original due date, Voice2Work may suspend your access to the Service until payment is received. After 30 days of non-payment, Voice2Work may terminate your account and may retain or delete your data in accordance with our data retention policy.

05 Free Trial

14-Day Free Trial: Voice2Work offers a 14-day free trial of the Service. No credit card is required to start your trial.

During the free trial period, you will have access to the features included in the plan you selected at signup. At the end of the 14-day trial period:

  • If you have not provided payment information and have not selected a paid plan, your trial account will expire and your access to the Service will be suspended.
  • If you have provided payment information and enrolled in a paid subscription prior to or at the end of the trial, your first billing cycle will begin on the day following the end of the trial period.

Voice2Work reserves the right to modify or discontinue the free trial offer at any time. Only one free trial is permitted per business entity. Creating multiple accounts to access additional free trials is a violation of these Terms and may result in immediate account termination.

06 Cancellation Policy

6.1 How to Cancel

You may cancel your Voice2Work subscription at any time by:

  • Navigating to Account Settings > Subscription > Cancel Plan within the web application at app.voice2work.com; or
  • Contacting Voice2Work support at hello@voice2work.com.

Cancellation must be completed before your next billing renewal date to avoid being charged for the next billing period. Cancellation requests submitted after a billing date has processed will take effect at the end of the current billing period.

6.2 Access After Cancellation

Upon cancellation, your account will remain active and you will continue to have full access to the Service through the end of your current paid billing period. Access will be suspended at the conclusion of that period. Voice2Work does not terminate access immediately upon receipt of a cancellation request.

6.3 No Prorated Refunds

Cancellations are effective at the end of the current billing period. Voice2Work does not provide prorated refunds for unused time remaining in a billing period. If you cancel a monthly subscription mid-month, you will retain access through the end of that calendar month but will not receive a refund for the remaining days. If you cancel an annual subscription, you will retain access through the end of the annual term but will not receive a prorated refund for the remaining months, except as provided in Section 7.

6.4 Cancellation of Add-Ons

AI Marketplace add-on subscriptions may be cancelled independently of your core platform subscription using the same process described in Section 6.1. Cancellation of an add-on does not cancel your core platform subscription.

6.5 Cancellation via App Stores

If you subscribed to Voice2Work through the Apple App Store or Google Play, you must manage your subscription (including cancellation) through the applicable app store's subscription management settings. Voice2Work is not responsible for billing managed by Apple or Google. App store refund requests are subject to the refund policies of Apple or Google, as applicable.

07 Refund Policy

Voice2Work's general policy is that all fees paid are non-refundable. This includes monthly subscription fees, annual subscription payments, and AI Marketplace add-on fees for months or periods in which service was available to you, regardless of actual usage.

7.1 Exceptions

Voice2Work may, in its sole discretion, issue a full or partial refund in the following limited circumstances:

  • Billing Error: A refund or credit will be issued if Voice2Work charged an incorrect amount due to a billing system error. You must report a suspected billing error within 60 days of the charge by contacting hello@voice2work.com.
  • Extended Service Outage: If the Service experiences an unplanned outage exceeding 72 consecutive hours due to causes within Voice2Work's reasonable control, you may be eligible for a prorated service credit (not a cash refund) for the duration of the outage, calculated against your monthly subscription rate.
  • Annual Plan Cancellation Within 30 Days: Customers who purchase an annual subscription and cancel within 30 days of the initial purchase (not a renewal) and have not materially used the Service may be eligible for a full refund, at Voice2Work's discretion. Contact hello@voice2work.com to request a refund under this policy.

7.2 App Store Purchases

If your purchase was made through the Apple App Store or Google Play, all refund requests must be made directly to Apple or Google in accordance with their respective refund policies. Voice2Work has no control over, and is not responsible for, refunds processed by Apple or Google.

Note: Initiating a chargeback or payment dispute with your bank or credit card company without first contacting Voice2Work constitutes a breach of these Terms and may result in immediate account suspension.

08 End User License Agreement (EULA)

This Section constitutes the End User License Agreement ("EULA") for the Voice2Work mobile applications available on the Apple App Store and Google Play Store, as required by Apple App Store guidelines and Google Play policies.

8.1 License Grant

Subject to your compliance with these Terms and timely payment of all applicable fees, Voice2Work grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Download, install, and use the Voice2Work mobile application on devices you own or control that run Apple iOS or Google Android operating systems;
  • Access and use the Service solely for your internal business operations as an appliance repair shop or technician;
  • Access and use the web application at app.voice2work.com through a supported web browser.

8.2 License Restrictions

This license does not permit you to:

  • Copy, modify, adapt, translate, or create derivative works of the Service or any component thereof;
  • Reverse engineer, disassemble, decompile, or attempt to derive the source code of the Service;
  • Sell, resell, sublicense, rent, lease, or otherwise transfer your rights to use the Service to any third party;
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Service;
  • Use the Service to build a competing product or service, or to benchmark the Service for the purpose of publishing comparative information without Voice2Work's prior written consent.

8.3 Apple-Specific Terms

The following terms apply to the Voice2Work iOS application distributed through the Apple App Store:

  • These Terms are between you and Voice2Work only, not with Apple Inc. ("Apple"). Apple is not responsible for the Voice2Work application or its content.
  • The license granted herein is limited to use on Apple-branded products that you own or control and as permitted by the Usage Rules in Apple's App Store Terms of Service.
  • Apple has no obligation to provide any maintenance or support services for the Voice2Work application.
  • In the event of any failure of the Voice2Work application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the application.
  • Apple is not responsible for addressing any claims by you or any third party relating to the application, including: (a) product liability claims; (b) any claim that the application fails to conform to any applicable legal or regulatory requirement; or (c) claims arising under consumer protection or similar legislation.
  • In the event of any third-party claim that the Voice2Work application, or your possession and use of it, infringes a third party's intellectual property rights, Voice2Work (not Apple) will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the iOS application, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

8.4 Google Play-Specific Terms

The following terms apply to the Voice2Work Android application distributed through Google Play:

  • These Terms are between you and Voice2Work only, not with Google LLC ("Google"). Google is not a party to these Terms and is not responsible for the Voice2Work application or these Terms.
  • If you obtained the Voice2Work application through Google Play and Voice2Work fails to comply with any obligation set forth in these Terms, you may contact Google and Google may (but is not required to) take actions it deems appropriate.
  • You represent and warrant that you are not located in a country that is subject to a U.S. government embargo or that has been designated as a "terrorist-supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.

09 Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • For any purpose that is unlawful, fraudulent, deceptive, abusive, or otherwise harmful to Voice2Work, other users, or third parties;
  • To transmit, upload, or distribute any data, content, or material that infringes, misappropriates, or violates any third party's intellectual property rights, privacy rights, or rights of publicity;
  • To upload or transmit viruses, malware, ransomware, spyware, or any other malicious or harmful code;
  • To attempt to gain unauthorized access to any portion of the Service, other users' accounts, or Voice2Work's infrastructure, servers, or networks;
  • To scrape, crawl, spider, index, or systematically extract data from the Service by automated means without Voice2Work's prior written consent;
  • To use the Service to send unsolicited commercial communications (spam) to individuals who have not consented to receive such communications;
  • To reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying architecture of the Service;
  • To sublicense, resell, or otherwise commercialize access to the Service to third parties without Voice2Work's express written authorization;
  • To use the Service to interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure;
  • To collect, harvest, or store personally identifiable information about other users without their explicit consent and in violation of applicable privacy laws;
  • To use the Service in any manner that could impose a disproportionate or unreasonably large load on Voice2Work's infrastructure;
  • To impersonate Voice2Work, any Voice2Work employee, another user, or any other person or entity.

Voice2Work reserves the right to investigate violations of this policy and to take appropriate action, including suspending or terminating accounts, removing content, and referring matters to law enforcement authorities.

10 AI Features

10.1 AI Marketplace Features

Voice2Work offers optional AI-powered features as part of its AI Marketplace, including Voice AI (automated voice-based customer intake and job creation), Email AI (automated email triage and response drafting), Follow-Up AI (automated customer follow-up messaging), Billing AI (automated invoice generation and payment reminders), and Warranty AI (AI-assisted warranty claim preparation and submission). These features require a separate subscription or per-use fee as described in Section 4.2.

10.2 License to Process Data for AI

By activating and using AI features, you grant Voice2Work a limited, non-exclusive, royalty-free license to access, process, and analyze your job data, customer data, repair history, and other information you submit to the Service solely for the purpose of operating and improving the AI features you have activated. This license does not authorize Voice2Work to sell your data to third parties. See our Privacy Policy for a complete description of how we handle your data.

10.3 AI Outputs Are Suggestions Only

AI outputs are suggestions only. Voice2Work's AI features provide automated suggestions, drafts, predictions, and recommendations — including job classifications, repair cost estimates, warranty claim recommendations, and follow-up message drafts. These outputs are generated by machine learning models and are not professional, legal, technical, or warranty advice.

You are solely responsible for reviewing all AI-generated outputs before acting on them, sending them to customers, or submitting them to manufacturers or warranty administrators. Voice2Work does not guarantee the accuracy, completeness, or fitness for any particular purpose of any AI-generated output. Appliance repair diagnoses, warranty determinations, and customer communications remain the professional responsibility of the technician or shop owner using the Service.

10.4 AI Accuracy and Model Limitations

AI models are inherently probabilistic and may produce incorrect, incomplete, outdated, or contextually inappropriate outputs. Voice2Work's AI features are trained on appliance repair industry data, but individual appliance models, regional service requirements, and manufacturer warranty terms vary widely. You acknowledge these limitations and agree to apply professional judgment before relying on any AI output.

10.5 AI Feature Availability

AI features are provided on an "as available" basis. Voice2Work may modify, expand, limit, or discontinue AI features at any time. If Voice2Work discontinues a paid AI add-on, you will receive at least 30 days' notice and a prorated refund for any prepaid subscription period for that add-on.

11 SMS & Communications

11.1 SMS Sent on Your Behalf

Voice2Work's Voice AI and other AI-powered intake and communication features may send SMS text messages and make or receive phone calls on your behalf to your customers. By activating these features, you authorize Voice2Work to send and receive SMS messages and voice calls on behalf of your business to the customer contact information you have entered or imported into the Service.

Your Consent Obligation: You are solely responsible for obtaining all legally required consents from your customers before authorizing Voice2Work to send them SMS messages or initiate automated communications on your behalf. This includes compliance with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, Canada's Anti-Spam Legislation (CASL), and all other applicable federal, state, provincial, and local laws governing electronic and telephone communications.

11.2 Message Compliance

When using Voice2Work's SMS and communication features, you agree to:

  • Obtain prior express written consent (as required by the TCPA and applicable law) from each customer before sending marketing, promotional, or non-transactional SMS messages;
  • Honor opt-out requests promptly (e.g., STOP, UNSUBSCRIBE) and configure the Service to prevent further messages to customers who have opted out;
  • Ensure all messages sent through Voice2Work identify your business as the sender;
  • Not use Voice2Work's communication features to send spam, harassing messages, or communications that violate applicable law.

11.3 Voice2Work System Communications

Voice2Work may send you transactional and account-related emails, including billing confirmations, password resets, account notices, and service updates. These are administrative communications required for the operation of your account and are not subject to marketing opt-out.

11.4 Indemnification for SMS Violations

You agree to indemnify, defend, and hold harmless Voice2Work from and against any claims, fines, penalties, damages, or liabilities arising from your failure to comply with applicable SMS and telephone communication laws and regulations, including without limitation claims brought under the TCPA. See Section 17 for the full indemnification provision.

12 Data & Privacy

Your privacy is important to us. Voice2Work's collection, use, and protection of your personal information and your customers' personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and agree to our Privacy Policy.

12.1 Your Customers' Data

You may enter or import data about your customers, including names, contact information, appliance information, and service history, into the Service. You represent and warrant that you have the legal right to submit such data to Voice2Work and that doing so does not violate any applicable privacy law or any agreement between you and your customers.

12.2 Data Security

Voice2Work implements industry-standard technical and organizational security measures to protect data stored on the Service, including 256-bit encryption at rest and in transit, access controls, and SOC 2-compliant infrastructure. However, no system is perfectly secure, and Voice2Work cannot guarantee that unauthorized third parties will never be able to defeat our security measures.

12.3 Data Portability

You may export your job data, customer records, and other business data from the Service at any time during your active subscription using the export tools provided within the platform. Upon account termination, Voice2Work will retain your data for 60 days during which you may request an export. After 60 days, Voice2Work may permanently delete your data.

13 Intellectual Property

13.1 Voice2Work's Intellectual Property

The Service — including all software, code, algorithms, user interfaces, designs, logos, trademarks, service marks, trade names, graphics, text, and all other content and technology that constitute the Voice2Work platform — is and remains the exclusive property of Voice2Work, Inc. and its licensors. All rights not expressly granted to you in these Terms are reserved by Voice2Work.

"Voice2Work," the Voice2Work logo, and all related product and feature names are trademarks or registered trademarks of Voice2Work, Inc. in the United States and other countries. You may not use Voice2Work's trademarks without our prior written permission.

13.2 Your Business Data

You retain full ownership of all business data, job records, customer information, and other content that you create, upload, or submit to the Service ("Your Data"). Voice2Work claims no ownership over Your Data. The limited license you grant Voice2Work to process Your Data to deliver the Service is described in Sections 10.2 and 14.

13.3 Feedback

If you submit ideas, suggestions, or feedback regarding the Service ("Feedback"), you grant Voice2Work a worldwide, perpetual, irrevocable, royalty-free license to use, incorporate, and commercialize the Feedback in any manner without restriction or compensation to you. Voice2Work is not obligated to implement any Feedback.

14 User Content & Data

14.1 License to Voice2Work

By submitting data, content, or information to the Service (collectively, "User Content"), you grant Voice2Work a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, process, display, and transmit your User Content solely to the extent necessary to provide, maintain, and improve the Service for you. This license is limited to the purpose of operating the Service and does not grant Voice2Work the right to sell your User Content to third parties or use it for purposes unrelated to operating the Service.

14.2 Your Representations

You represent and warrant that: (a) you own or have all necessary rights to submit your User Content to the Service; (b) your User Content does not infringe, misappropriate, or violate any third-party intellectual property rights, privacy rights, or other legal rights; and (c) your User Content does not contain any malware, spyware, or other malicious code.

14.3 Aggregated & Anonymized Data

Voice2Work may use aggregated, de-identified, and anonymized data derived from usage of the Service for internal analytics, product improvement, benchmarking, and research purposes. Such aggregated data will not identify you, your customers, or any individual. Nothing in this Section permits Voice2Work to identify you or your customers in connection with such data.

15 Third-Party Integrations

The Service may integrate with or connect to third-party services, applications, and APIs, including but not limited to payment processors, parts suppliers, manufacturer warranty portals, accounting software, and communication providers (collectively, "Third-Party Services").

  • Voice2Work is not responsible for the availability, accuracy, security, or reliability of any Third-Party Service.
  • Your use of Third-Party Services integrated with Voice2Work is subject to the terms of service and privacy policies of those third parties, not these Terms.
  • Voice2Work is not liable for any loss, damage, or harm arising from a Third-Party Service's outage, data breach, change in functionality, or termination of integration support.
  • Voice2Work does not guarantee that any specific third-party integration will remain available. We will provide reasonable notice when a material third-party integration is being removed.

Links to third-party websites or services provided within the Service do not constitute an endorsement of those services by Voice2Work.

16 Limitation of Liability

Important: This section limits Voice2Work's liability to you. Please read it carefully before using the Service.

16.1 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOICE2WORK'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE — WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY — SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO VOICE2WORK IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

16.2 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOICE2WORK, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS; (C) LOSS OF DATA OR COST OF PROCURING SUBSTITUTE SERVICES; OR (D) BUSINESS INTERRUPTION — REGARDLESS OF WHETHER VOICE2WORK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY.

16.3 Essential Basis

YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND VOICE2WORK AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. VOICE2WORK WOULD NOT BE ABLE TO PROVIDE THE SERVICE AT THE PRICES CHARGED WITHOUT THESE LIMITATIONS.

16.4 Jurisdictional Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In such jurisdictions, Voice2Work's liability will be limited to the fullest extent permitted by applicable law. Nothing in these Terms excludes liability for fraud, willful misconduct, or any liability that cannot be excluded by law.

17 Indemnification

You agree to indemnify, defend (at Voice2Work's election), and hold harmless Voice2Work, Inc. and its directors, officers, employees, contractors, affiliates, successors, and assigns (collectively, "Voice2Work Indemnitees") from and against any and all claims, demands, suits, proceedings, judgments, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service in violation of these Terms or any applicable law;
  • Your User Content, including any claim that your User Content infringes a third party's intellectual property rights or violates any applicable law;
  • Your failure to obtain legally required consent from your customers before sending them SMS messages or automated communications through the Service;
  • Any dispute between you and your customers arising from the use of Voice2Work's features;
  • Your violation of any third party's rights, including intellectual property rights, privacy rights, or consumer protection rights;
  • Any willful misconduct, fraud, or negligence on your part in connection with use of the Service.

Voice2Work reserves the right to assume exclusive control of the defense of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with Voice2Work in asserting all available defenses at your expense.

18 Disclaimers & Warranties

18.1 "As Is" Service

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VOICE2WORK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

18.2 No Warranty of Uptime or Continuity

Voice2Work does not warrant that the Service will be available at all times, uninterrupted, error-free, or free from viruses or other harmful components. We do not guarantee that the Service will meet your specific business requirements or that it will be suitable for the particular purposes of your appliance repair operation.

18.3 No Warranty of AI Accuracy

VOICE2WORK EXPRESSLY DISCLAIMS ANY WARRANTY THAT AI-GENERATED OUTPUTS — INCLUDING JOB DIAGNOSES, REPAIR ESTIMATES, WARRANTY CLAIM RECOMMENDATIONS, CUSTOMER COMMUNICATIONS, OR BILLING SUGGESTIONS — ARE ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR RELIANCE WITHOUT INDEPENDENT VERIFICATION BY A QUALIFIED TECHNICIAN OR PROFESSIONAL.

18.4 Beta Features

From time to time, Voice2Work may make pre-release, beta, or experimental features available. Such features are provided "as is" with no warranties of any kind. Voice2Work may modify or remove beta features at any time without notice.

19 Account Termination

19.1 Termination by You

You may terminate your account at any time by following the cancellation process in Section 6. Termination of your account is distinct from cancellation of your subscription and will result in permanent deletion of your account following the data retention period described in Section 12.3.

19.2 Termination by Voice2Work

Voice2Work reserves the right to suspend or permanently terminate your account, with or without notice, for:

  • Material breach of these Terms, including violation of the Acceptable Use Policy in Section 9;
  • Non-payment of fees as described in Section 4.6;
  • Providing false, fraudulent, or misleading registration information;
  • Creating multiple accounts to abuse the free trial;
  • Any conduct that exposes Voice2Work or its users to legal liability;
  • Any use of the Service that is illegal under applicable law.

For non-material breaches that are reasonably capable of being cured, Voice2Work will provide you with written notice and a reasonable cure period (not less than 5 business days) before terminating your account.

19.3 Effect of Termination

Upon termination of your account for any reason: (a) your license to use the Service terminates immediately; (b) you must cease all use of the Service; (c) Voice2Work may retain your data for up to 60 days before permanent deletion, during which you may request an export; and (d) all outstanding fees become immediately due and payable. Termination does not relieve you of any obligations accrued prior to termination. Sections 12, 13, 16, 17, 18, 20, and 21 survive termination of these Terms.

20 Governing Law

These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Subject to the arbitration agreement in Section 21, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Delaware for any dispute that is not subject to arbitration or for any action to enforce an arbitration award.

21 Dispute Resolution

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and your right to participate in a class action.

21.1 Informal Resolution

Before initiating any formal dispute proceeding, you agree to first contact Voice2Work at legal@voice2work.com and describe your dispute in reasonable detail. Both parties agree to make good-faith efforts to resolve the dispute informally for a period of at least 30 days from the date of the notice. Nothing in this informal resolution process shall be construed as an admission of liability.

21.2 Binding Arbitration

If a dispute cannot be resolved through informal negotiation within the 30-day period, both parties agree that the dispute shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (and, where applicable, the Consumer Arbitration Rules), which are incorporated herein by reference. The arbitration shall be conducted in English, and the seat of arbitration shall be in the State of Delaware.

The arbitrator — not any court — shall have exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability, or formation of this agreement to arbitrate, including any claim that all or part of this agreement is void or voidable. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

21.3 Class Action Waiver

YOU AND VOICE2WORK EACH WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. All disputes must be brought on an individual basis only. The arbitrator may not consolidate more than one person's claims into a single arbitration and may not preside over any form of class or representative proceeding.

21.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property rights or confidential information, or to prevent irreparable harm pending the outcome of arbitration. Claims of $10,000 or less may, at the claimant's option, be brought in small claims court in lieu of arbitration.

21.5 Opt-Out Right

You may opt out of the binding arbitration agreement and class action waiver by sending written notice to legal@voice2work.com with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

22 Changes to These Terms

Voice2Work reserves the right to modify these Terms at any time. For material changes — including changes to pricing, the arbitration agreement, the limitation of liability, or the core rights or obligations of either party — Voice2Work will provide at least 30 days' advance notice via email to the address associated with your account and/or through a prominent notice within the Service.

For non-material changes (such as clarifications, corrections, or updates to contact information), Voice2Work may update these Terms with shorter or no advance notice. The "Last Updated" date at the top of this page will reflect the date of the most recent revision.

Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the modified Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the effective date of the changes.

General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any order forms or subscription confirmations, constitute the entire agreement between you and Voice2Work concerning the Service and supersede all prior agreements, representations, and understandings.

Severability. If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Waiver. Voice2Work's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without Voice2Work's prior written consent. Voice2Work may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of Voice2Work's assets, with notice to you.

Force Majeure. Voice2Work shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, labor disputes, internet or telecommunications failures, or cyberattacks.

No Third-Party Beneficiaries. Except as expressly stated in Section 8.3 with respect to Apple, these Terms do not create any third-party beneficiary rights.

Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
